Telefónica sells its Peruvian subsidiary to Argentina's Integra Tec for nearly US$1 million

The Ordinary Bankruptcy Restructuring Process, initiated before Indecopi, will continue its proceedings in accordance with current regulations.

Telefónica Hispanoamérica announced the sale of its entire stake in Telefónica del Perú to the Argentine firm Integra TecInternational Inc. (Integra Tec).

"As a result of this transaction, Integra Tec has acquired control of TdP, maintaining its focus on ensuring the uninterrupted provision of telecommunications services to the company's more than 13 million customers in urban and rural areas of Peru," the telco said in a statement.

As part of and within the framework of the transaction, Telefónica Hispam has sold to Integra Tec the financial credits against TdP derived from the goodwill agreement dated February 14, 2025. Both parties have agreed to keep at TdP's disposal the total undrawn amount of the Credit of 1,549 million soles, the disbursements of which will be made in part by Telefónica Hispam and in part by Integra Tec.

The signing and closing of the transaction took place simultaneously today. The purchase price of the shares and the Loan is approximately 3.7 million Peruvian soles (approximately US$991,900), determined based on the current situation of Telefónica del Perú and the context of the agreement reached. This agreement allows TdP to continue providing services to Peruvian households and businesses.

The new shareholder has extensive experience in Latin America, in the telecommunications, utilities, media, energy, chemical, and natural resources industries, as well as in the recovery of companies facing financial difficulties and special situations. The new shareholder's objectives are to maintain and expand service, restructure the company's debt within the framework of the PCO, and establish a sustainable business plan with a solid capital structure. Integra Tec intends to work amicably with creditors, suppliers, employees, the Government of Peru, and all parties related to TdP.

Integra Tec has appointed Germán Ranftl as its new Chairman of the Board, who will lead the restructuring process. To support the stability of the transaction, the new shareholder is counting on TdP's current management team, led by Elena Maestre.

The transaction represents the indirect transfer of control over the shares that TdP holds in the rural operator Internet para Todos (IpT).
