Jaime and Gabriel Gilinski resigned from the board of directors of Sura.

The decision is made in the midst of the execution of the macro agreement signed on June 15, 2023 (which later underwent several modifications) between the Gilinskis and the Antioqueño Business Group (GEA).
On Thursday night, Grupo Sura announced that directors Jaime Gilinski Bacal and Gabriel Gilinski Kardonski have resigned from the company's board of directors. The resignation takes immediate effect. The decision comes amid the execution of the macro agreement signed on June 15, 2023 (which has since undergone several modifications) between the Gilinskis and the Antioqueño Business Group (GEA). Once all the movements are made, IHC, JGDB, and Nugil will hold more than 87% of the shares of Grupo Nutresa and will cease to be shareholders of Sura, among other things. Hence, both resignations were expected. This week, the first part of the direct share exchange was carried out: the Gilinskis handed over 27.8% of the shares to Grupo Sura, plus 11.8% of shares in Sociedad Portafolio (the company created from the split of Nutresa and which holds Nutresa's shares in Sura and Grupo Argos). Sura also handed over all its shares in Nutresa to Gilinski and his IHC partners. With the departure of the Gilinskis, the board of directors now has five members, Jaime Arrubla, independent member and president; María Ximena Lombana, independent member and vice president of the board; Juan Constantino Martínez, independent member; Jorge Mario Velásquez, proprietary member, and Jaime Alberto Velásquez, proprietary member. It is likely that former minister Lombana will leave the board when the next step of direct share exchange takes place. What's next in the agreement between the Gilinskis and the GEA? The steps planned in the agreement include the following: The formulation of a public acquisition offer (OPA) for 23.1% of the shares of Grupo Nutresa. This will be launched jointly, but not jointly and severally, by Grupo Sura, Grupo Argos, a vehicle of IHC Capital Holding L.L.C., JGDB and Nugil. Once the OPA for Nutresa is concluded, the second part of the share exchange will take place so that Grupo Argos and Grupo Sura deliver an additional 10.1% of Nutresa shares, in turn they will receive the remainder of the Sura shares and the Sociedad Portafolio currently held by JGDB, Nugil and IHC. Share change in Sura After the first part of the exchange, which took place this Tuesday, the shareholder base of Grupo Sura underwent several modifications, among which the following stand out: FAP Grupo Argos acquired 85,500,000 ordinary shares corresponding to 25.4%; Sociedad Portafolio increased its percentage by 5.1%, so this shareholder holds 18.4%; and finally, JGDB decreased its percentage by 31.9%. Consequently, this shareholder holds 6.1%.
