Peruvian M&A market registers a decrease of 11% in the first half of 2024

A notable transaction of the period is the one related to China Southern Power Grid International Hong Kong, which has completed the acquisition of 100% of Enel X Perú and 83.15% of Enel Distribución Perú from Enel Perú, a subsidiary of Enel Américas.

The Peruvian transactional market has registered in the first half of 2024 a total of 63 mergers and acquisitions, between announced and closed, for an aggregate amount of US$ 1,463 million, according to the quarterly report from TTR Data.

These figures represent an 11% decrease in the number of transactions and a 65% decrease in their amount, compared to the same period in 2023.

In sectoral terms, the Specific Software Industry is the most active of the year, with a total of 9 transactions, with an increase of 50% compared to the same period last year.

Regarding the Cross-Border market, in 2024 Peruvian companies have mainly opted to invest in Chile, with 6 transactions. On the other hand, the United States stands out for being the country that has made the most acquisitions in Peru, with 9 registered deals .

While, in the first half of 2024, a total of 12 Venture Capital transactions have been recorded, of which 9 have an aggregate non-confidential amount of US$59 million. This represents a 20% increase in the number of transactions and a 91% increase in their amount, in year-on-year terms.

A notable transaction of the period is the one related to China Southern Power Grid International Hong Kong, an entity dedicated to investing, building and managing electricity networks based in Hong Kong, which has completed the acquisition of 100% of Enel .15% from Enel Distribución Perú to Enel Perú, a subsidiary of Enel Américas.

The transaction, valued at US$3.1 billion, has received legal advice from Rebaza, Alcázar & De Las Casas, Hogan Lovells Italy, A&O Shearman China and Miranda & Amado Abogados. On the part of Acquisition Finance, the deal has had the legal advice of Philippi Prietocarrizosa Ferrero DU & Uría Perú and King & Wood Mallesons China.

On the financial side, the transaction has been advised by JP Morgan and Morgan Stanley.

TTR Data also prepared a ranking of legal advisors, by amount, led by Hernández & Cía, with
USD 915m. By number of transactions, Rodrigo, Elías & Medrano Abogados leads in the second quarter of 2024, with 6 transactions.

Regarding the ranking of financial advisors, by amount, JP Morgan Chase International Holdings leads, with USD 589m.

By number of transactions, Tyndall Group leads in the second quarter of 2024, with 2 transactions.
